Terms of Service

Welcome to Skira.ai (“Skira,” “we,” “our,” or “the Platform”). These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Skira governing your access to and use of our website at https://skira.ai/, mobile applications, and any related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must immediately stop using the Services.

1. Eligibility and Minors

1. You must have the legal capacity to enter into a binding contract. If you are under 18 years old or otherwise lack full legal capacity, you may only use the Services with the consent and supervision of your legal guardian.

2. If you are under 14 years old, your guardian must review and consent to the Children’s Privacy Statement before account registration and use of the Services.

2. Content (User Input and Model Output)
2.1 User Input (Your Sole Risk and Responsibility)

1. You represent and warrant that all materials, data, instructions, prompts, images, audiovisual works, text, code, or other content that you input, upload, or otherwise provide to the Services (collectively, “Input”) are owned by you or you have obtained valid, sufficient, and provable authorization to use them. Such Input must not violate applicable laws, third-party rights, or public order.

2. You are solely responsible for any infringement, illegality, or dispute arising from your Input (including, without limitation, copyright, neighboring rights, patents, trademarks, trade secrets, rights of publicity/personality, privacy/data protection, and other legal interests). You agree to bear all costs and liabilities (including defense costs, settlement amounts, damages, fines, or penalties) and to indemnify and hold harmless Skira, its affiliates, employees, contractors, partners, and suppliers from any claims or losses arising therefrom.

2.2 Model Output and Rights Allocation (Shared and Licensed Use)

1. Definition of Output: “Output” refers to any text, images, audiovisual works, code, structured data, model results, or other content generated or returned by the Services through automated, semi-automated, or human-assisted processes. Outputs may be generated based on your Input, system prompts, model parameters, or training data.

2. Non-Exclusive Shared Rights: Subject to applicable law, for Outputs not restricted by third-party rights: (a) You receive a non-exclusive, worldwide, transferable, and sublicensable right to use and commercialize such Output; and (b) Skira, its affiliates, and any contributing creators or producers (if applicable) retain a non-exclusive, worldwide, irrevocable, royalty-free (or covered by service fees) right to use, reproduce, adapt, display, distribute, publish, and sublicense the same Output or derivative works thereof.

3. Reservation of Platform and Producer Rights: Any proprietary elements of Skira—including but not limited to databases, model parameters, prompt engineering, algorithms, UI/UX assets, and templates—remain the exclusive property of Skira and/or its licensors, and ownership is not transferred by virtue of appearing in an Output.

4. Third-Party Rights and Restrictions: If Outputs are subject to open-source licenses, third-party data permissions, or other restrictions, you must comply with those terms. Skira may annotate or update such restrictions at its discretion.

5. Explainability and Evidence Preservation: To meet compliance obligations, you authorize Skira to retain, use, and disclose generation logs and metadata as necessary (e.g., for rights claims, audits, regulatory inquiries, or litigation) and, where reasonably required, to provide explainability of the generation process (subject to anonymization/de-identification as permitted by law).

6. No Exclusive Ownership Claim: Except as required by law, Skira does not claim exclusive ownership of general Outputs provided to you. However, Skira fully retains all rights to its proprietary elements and technology embedded in the Outputs.

3. Fees and Subscriptions

1. Auto-Renewal: Certain Services include automatic renewal features. Where auto-renewal is restricted by local law or fails, we will notify you, and you may manually renew to maintain access.

2. Price Changes: We may change fees by posting notice to your account or on our website. Changes take effect from the later of the notice date or the specified effective date and apply prospectively.

3. Fair Use: You may not create or use multiple accounts to circumvent fees or abuse free plans. If we reasonably suspect misuse, we may charge standard fees or suspend, restrict, or terminate your access.

4. Prohibited Uses

You must not use the Services, directly or indirectly, to engage in or facilitate the following (including attempts):

1. Security and System Abuse: Introducing or distributing viruses, worms, trojans, malicious scripts, backdoors, or other harmful code; bypassing, interfering with, or disrupting security/authentication/billing/anti-abuse mechanisms; scanning, probing, stress testing, scraping, bulk crawling, DDoS, or similar activities.

2. Rights and Compliance Violations: Providing or generating content you lack rights to; infringing or misappropriating copyrights, neighboring rights, patents, trademarks, trade secrets, database rights, publicity/personality rights, privacy/data protection rights, or other legal interests; violating export controls, sanctions, data protection, or consumer protection laws.

3. Misrepresentation and Fraud: Impersonating another person; misrepresenting or falsely implying affiliation, endorsement, or authorization by Skira or others; publishing false, misleading, or fraudulent content; or engaging in social engineering attacks.

4. Harmful or Inappropriate Content: Creating or distributing defamatory, hateful, harassing, discriminatory, threatening, inciting, exploitative, abusive, or otherwise offensive content; disseminating sexually explicit or obscene content; harming, soliciting, or inappropriately contacting minors.

5. Illegal and High-Risk Uses: Using the Services for illegal, infringing, fraudulent, gambling, money laundering, or terrorist activities; developing, producing, or disseminating weapons, explosives, or other harmful items; relying on Outputs for medical, legal, financial, engineering, or other high-risk decisions without proper human oversight where life or safety is at stake.

6. Competition and Misuse: Reverse engineering, decompiling, or attempting to extract model weights, parameters, or training data; using the Services to train, improve, or benchmark competing models or services; generating large-scale automated content to evade usage limits, copyright enforcement, or content moderation.

7. Other Unlawful Conduct: Any use that violates applicable law, regulation, court order, or government directive, or that may subject Skira to civil or criminal liability.

Enforcement: Skira may, without prior notice, restrict, remove content, suspend, or terminate your access where necessary for compliance, security, or risk management, and may cooperate with law enforcement or rights holders as legally required.

5. Disclaimers and Limitation of Liability

1. No Warranties: To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Skira disclaims all warranties, express or implied, including but not limited to accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. We do not warrant that Outputs will be correct, lawful, usable, or fit for a specific purpose.

2. Liability Limitation: To the fullest extent permitted by law, Skira shall not be liable for indirect, punitive, incidental, special, or consequential damages (including but not limited to loss of profits, goodwill, data, or business interruption). Our aggregate liability for direct damages (whether in contract, tort, or otherwise) shall not exceed the total fees you paid to Skira for the relevant Services in the twelve (12) months preceding the event giving rise to liability, or USD $100 if you used the Services free of charge. These limitations do not apply where prohibited by law.

3. Third Parties and Force Majeure: Skira is not liable for acts, omissions, or content of third parties, or for interruptions caused by force majeure, network failures, vendor outages, policy changes, or other events beyond our reasonable control.

4. No Professional Advice: Outputs are not legal, medical, financial, engineering, or other professional advice. You should seek independent qualified advice before relying on any Output.

6. Indemnification

You agree to defend, indemnify, and hold harmless Skira, its affiliates, officers, employees, contractors, partners, and suppliers from any claims, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees and investigation/expert costs) arising out of or related to your Input, your use of Outputs, violation of these Terms, or violation of law.

7. Service Changes, Suspension, and Termination

We may change, suspend, or terminate all or part of the Services at any time for operational, security, compliance, or business reasons. For paying users, if a major disruption occurs not caused by your breach, we will provide prorated refunds or other remedies in accordance with our policies. Certain features or content may be modified or removed at any time.

8. Modifications

We may update these Terms at any time by posting notices on our website, within the Services, or to your account. Unless otherwise stated, changes are effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms. If you disagree, you must immediately stop using the Services.

9. Territory and Availability

The Services are operated and managed from our headquarters in the Cayman Islands. Features, products, and Services may vary by region. You are solely responsible for ensuring your use complies with local laws and assume all risks for unlawful use in your jurisdiction.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of California, United States, without regard to conflict of laws principles. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in California. Both parties waive objections to venue or forum non conveniens.

11. Miscellaneous

1. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. Assignment: You may not assign your rights or obligations under these Terms without prior written consent from Skira. Skira may assign these Terms in connection with a merger, acquisition, asset transfer, or as permitted by law.

3. Entire Agreement: These Terms, together with applicable policies (including the Privacy Policy, Acceptable Use Policy, and Children’s Privacy Statement), constitute the entire agreement between you and Skira and supersede prior agreements.

4. Notices: We may provide notices by website postings, in-app notifications, email, or account contact details.

5. Interpretation: To the extent permitted by law, Skira retains reasonable discretion in interpreting and enforcing these Terms.
